and Conditions
Rules governing access and use of Horizon Suite.

1. Interpretation and Definitions
1.1 In these Terms:
"Platform" means the Horizon Suite digital analytical environment operated under the IBeOne brand.
"Operator" means the owner and controller of Horizon Suite.
"Member" means any individual granted authorised access following registration, email verification and approval.
"Services" means access to and use of the Platform and its analytical tools.
"Content" includes all methodologies, analytical models, visualisations, calculations, documentation, written materials and system structures contained within or generated by the Platform.
1.2 These Terms govern access to and use of the Platform.
2. Acceptance and Formation of Contract
2.1 By registering for access, verifying email, and using the Platform, the Member confirms acceptance of these Terms.
2.2 A binding agreement is formed upon approval of membership and continued use of the Services.
2.3 If the Member does not agree to these Terms, access must not be used.
3. Nature of the Services
3.1 The Platform provides structured analytical tools for decision support.
3.2 The Services do not constitute regulated financial services, investment advice, tax advice, accounting services, or legal advice under:
- The Financial Services and Markets Act 2000
- The Financial Services Act 2012
- The Legal Services Act 2007
3.3 No fiduciary, advisory, or professional-client relationship is created by use of the Platform.
4. Intellectual Property Rights
4.1 All intellectual property rights are protected under the Copyright, Designs and Patents Act 1988 and applicable UK law.
4.2 The Operator retains exclusive ownership of:
- Analytical frameworks
- Methodologies
- System architecture
- Interface design
- Written materials
- Generated structural outputs
4.3 Members are granted a limited, non-exclusive, revocable, non-transferable licence to use the Platform strictly for internal business purposes.
4.4 Members shall not:
- Copy, reproduce, distribute, publish or transmit Content;
- Reverse-engineer or deconstruct analytical structures;
- Create derivative works;
- Use Content to develop competing systems or services.
4.5 Unauthorised use may result in civil proceedings for infringement.
5. Access and Account Security
5.1 Access is conditional upon:
- Valid registration;
- Email verification;
- Approval of membership;
- Compliance with these Terms.
5.2 The Member is responsible for safeguarding login credentials.
5.3 Access may be suspended or terminated at the Operator's discretion where misuse, breach, or unethical conduct is identified.
6. Member Representations and Warranties
The Member warrants that:
6.1 Information submitted is accurate and not misleading.
6.2 The Member is authorised to use and submit any data uploaded.
6.3 Use of the Platform complies with applicable UK law.
7. Confidentiality
7.1 The Platform may contain confidential methodologies and proprietary systems.
7.2 Members shall not disclose or share access or Content.
7.3 Breach of confidentiality may result in injunctive relief and damages.
8. Data Protection and Processing
8.1 Personal data is processed in accordance with:
- UK General Data Protection Regulation (UK GDPR);
- Data Protection Act 2018.
8.2 The Operator acts as data controller for authentication and membership management data.
8.3 Submitted analytical data remains the property of the Member.
8.4 Analytical abstractions or aggregated patterns may be derived from anonymised outputs, provided no identifiable company information is retained.
8.5 Data retention is limited to a maximum of 30 days unless legal compliance requires otherwise.
9. Limitation of Liability
9.1 Nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by negligence;
- Fraud or fraudulent misrepresentation;
- Any liability that cannot be excluded under the Unfair Contract Terms Act 1977.
9.2 Subject to Clause 9.1, the Operator shall not be liable for:
- Indirect or consequential loss;
- Loss of profits;
- Loss of business or opportunity;
- Loss of data;
- Business interruption.
9.3 The Services are provided "as is" without warranty of accuracy, completeness or uninterrupted availability.
9.4 The Member acknowledges that business and financial decisions involve inherent risk.
10. Indemnity
The Member agrees to indemnify and hold harmless the Operator against any claims, liabilities, damages, losses or expenses arising from:
- Misuse of the Platform;
- Submission of unauthorised data;
- Breach of these Terms.
11. Availability and Technical Limitations
11.1 The Operator does not guarantee uninterrupted availability.
11.2 Temporary suspension may occur for maintenance or technical reasons.
12. Force Majeure
The Operator shall not be liable for failure or delay caused by events beyond reasonable control.
13. Suspension and Termination
13.1 Access may be suspended or terminated for breach of these Terms.
13.2 Termination does not affect accrued rights.
14. Severability
If any provision is found invalid or unenforceable, remaining provisions remain in effect.
15. Entire Agreement
These Terms constitute the entire agreement between the parties and supersede prior discussions or representations.
16. Electronic Communications
The Member consents to electronic communication for notices, confirmations and updates.
17. Governing Law and Jurisdiction
17.1 These Terms are governed by the laws of England and Wales.
17.2 The courts of England and Wales shall have exclusive jurisdiction.
